JOB OVERVIEW

The role of the Legal Counsel is to report to and support the General Counsel. The successful candidate will be responsible for reviewing model contracts and legal agreements. As a key member of our legal team, this position will also participate in the review, update and consolidation of the organization's policies and procedures. By closely monitoring new federal and provincial privacy laws, the successful candidate will also participate in the review of privacy practices to ensure compliance. The Legal Advisor will also be involved in a range of other duties related to matters relating to intellectual property, wills and estates, and corporate governance, as appropriate.

WHAT YOU'LL DO:

  • Draft, negotiate and interpret a variety of legal agreements, including master agreements, sponsorship agreements, donation agreements, funding agreements, IT agreements and licensing agreements.
  • Maintain and update contract templates, modifying them or creating new ones as legal and business needs change.
  • Anticipate and identify legal issues and consult with our General Counsel on legal strategies, processes and solutions to reduce legal risks.
  • Use knowledge of business transactions, information technology, intellectual property, administrative law, and privacy law to work cross-functionally with all departments of the organization, including fundraising, corporate partnerships, finance, IT services, planned giving, and support services. to provide legal and business advice on ongoing and planned projects.
  • Keep abreast of developments in laws and regulations that affect the CCS's activities by conducting legal research, participating in continuing legal education, etc.
  • Participate as a member of the Privacy Committee and contribute to the preparation and delivery of privacy training, as appropriate.

QUALIFICATIONS:

  • Common law degree with at least 3-5 years of experience in a law firm or in-house legal department.
  • A member in good standing of the bar of a province.
  • Experience in the field of information technology and privacy.
  • Strong customer service, communication and interpersonal skills.
  • Strong attention to detail and analytical skills.
  • Excellent communication skills, including the ability to write clearly and concisely in a variety of contexts and communication styles.
  • Experience working in a team-oriented environment.
  • Ability to work independently while exercising judgment in decision-making and knowing when to seek help.
  • Proven ability to manage a large workload and prioritize effectively to meet competing deadlines in a fast-paced environment.
  • High-level problem-solving skills and ability to effectively handle ambiguities and complex concepts.
  • Experience with a variety of business contracts.
  • Advanced skills with Microsoft Word, Excel and PowerPoint.
  • Experience in the non-profit sector is an asset.
  • Fluency in English required; ability to read and speak French, an asset.
